Kevin D. Kirby is a corporate and transactional attorney specializing in mergers and acquisitions, financings and executive compensation. He represents privately-held companies of various sizes, and in a wide range of industries throughout the Southeast. In addition to representing those businesses with major transactions such as acquisitions and raising capital, he assists them with the legal aspects of day-to-day operations, including employment issues, tax matters and contract negotiations.

Mr. Kirby also represents a number of founders and executives of small businesses; he assists these individuals in implementing buy-sell arrangements, exit strategies and personal estate planning in connection with their business holdings.

Prior to forming Kevin D. Kirby, P.C. in November of 2003, Mr. Kirby worked for seven years with the Atlanta law firm of Morris, Manning & Martin, LLP. There his practice focused on mergers and acquisitions and executive compensation for both private and publicly-traded companies. During that time, Mr. Kirby developed particular expertise in the tax issues involved in issuing equity to employees and other service providers and handling equity compensation issues in the context of mergers and acquisitions.

A number of the firm’s clients are small to mid-sized companies that are not large enough to support full-time in-house counsel, but do require legal services on a frequent and predictable basis. Mr. Kirby oversees the legal needs of these businesses, handling transaction matters personally and assisting them in obtaining appropriate representation for litigation matters.
